Internship - Legal Analyst

Support SG’s structured notes issuance program in the United States. Primary legal responsibilities include:

·        Drafting and reviewing product specific disclosure materials;

·        Drafting distribution agreements;

·        Working with internal lawyers on deal execution tasks; 

·        Supporting internal attorneys in providing legal guidance on and solving daily issues relating to the structured notes program;

·        Solving novel documentation associated with new structured products; and

·        Performing the general administrative tasks relating to structured products program

 

Support issuances of Euro medium term notes (EMTN). 

Specifically:

o   Draft and review final terms and address daily execution issues in connection with EMTN issuances and distribution activities. 

o   Draft final terms templates for new payoff structures as requested by SG business lines and clients in the Americas region;

o   Draft amendments and restructuring of existing EMTN issues and provide SG front office in Americas with legal support in this respect;

Develop understanding of U.S. securities laws, broker-dealer regulations, and best market practices as they relate to securities offerings.

·        Work with internal and external legal counsel on regulatory and tax issues and novel transactions.

·        Conduct legal review of marketing materials relating to the structured products and EMTN. 

·        Draft confidentiality agreements with external counterparties

·        Take on new assignments and projects as delegated by SG internal lawyers covering MARK structured products business.

COMPENSATION & SALARY RANGE:

Base salary range does not include overtime pay, bonus and/or other benefits, where applicable. Actual base salary offer will vary based on skills and experience.
