Morgan Stanley's Shareholder Activism and Corporate Defense Practice advises public company clients and their boards of directors in the area of shareholder activism defense and hostile takeover defense. This group is part of the M&A Team.
As a Banker in Shareholder Activism & Corporate Defense Practice, you would provide advice and assistance to all industry and geographical coverage teams and Morgan Stanley clients regarding preparing for and responding to shareholder activists and hostile suitors, and advise on matters relating to ESG and shareholder relations, including responding to activist shareholder campaigns, unsolicited takeover bids, proxy contests, consent solicitations, special meeting demands and other contests for corporate control. The banker will help create presentations and analyses for defense pitches to drive client marketing/targeting efforts and work on live defense mandates/proxy fights.
As a Summer Analyst, you will have the opportunity to experience the culture and atmosphere of Morgan Stanley by taking on responsibilities of a Full Time Analyst by making meaningful contributions to the delivery of projects. You will be involved in an immersive orientation program and participate in an intensive division-specific training program focused on developing a strong foundation in the basic skills of financial analysis, accounting and valuation.
Summer Analysts receive continued on-the-job training throughout the program and benefit from working alongside experienced professionals on meaningful projects during their internship. Summer Analysts have many opportunities to exchange ideas and network with peers, mentors and senior managers through team-building sessions and other organized events.
Qualifications:
- Pursuing an undergraduate degree with a graduation date between December 2026 and June 2027
- Minimum 3.4 GPA
- Interest in the areas of shareholder activism, hostile takeovers, and ESG
- Comfortable reading and interpreting financial statements
- Desire to use both quantitative and qualitative skills on a daily basis
- Ability to think strategically and tactically in complicated situations
- High level of motivation and commitment to working hard
- Strong written and verbal communication, client and interpersonal skills
- Commercial instinct and ability to perform under pressure and tight deadlines
- Top education credentials
- Willingness to have appropriate series licensing

Expected base pay rates for the role will be $52.89 per hour at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
